1. Acceptance of Terms

By accessing or using the Percept platform, APIs, documentation, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these terms, you may not access or use the Services.

2. Definitions

  • "Platform" refers to the Percept spatial intelligence platform, including all reconstruction, scene graph, simulation, and API capabilities.
  • "User Data" means any data, imagery, sensor inputs, or other content you upload to or process through the Services.
  • "Output" means any 3D reconstructions, scene graphs, simulations, or other results generated by the Platform from your User Data.
  • "API" means the Percept application programming interfaces and associated SDKs.

3. Account Registration

You must create an account to access the Services. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to provide accurate and complete registration information.

You must notify Percept immediately of any unauthorized use of your account or any other breach of security.

4. License Grant

Subject to these Terms, Percept grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes or personal use, in accordance with the applicable plan you have selected.

This license does not include the right to sublicense, resell, or redistribute the Services or any component thereof.

5. Use Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Platform or its underlying models.
  • Use the Services to develop competing products or services.
  • Circumvent any usage limits, rate limits, or access controls.
  • Use the Services in violation of any applicable law or regulation.
  • Upload User Data that you do not have the right to process or that infringes third-party rights.
  • Attempt to extract model weights, training data, or proprietary algorithms from the Platform.

6. Data & Privacy

You retain ownership of your User Data. Percept processes User Data solely to provide the Services and does not use your User Data to train foundation models without your explicit consent.

Our handling of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms.

You are responsible for ensuring your use of the Services complies with applicable data protection regulations, including GDPR where applicable.

7. Intellectual Property

Percept retains all rights, title, and interest in the Services, Platform, APIs, models, documentation, and all related intellectual property. Nothing in these Terms transfers ownership of any Percept IP to you.

You retain ownership of your User Data and Outputs, subject to Percept's underlying IP in the Platform.

8. Payment & Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated. Percept reserves the right to change pricing with 30 days' notice.

Usage-based charges (API calls, compute minutes, storage) are billed monthly in arrears based on your actual usage during the billing period.

9. Termination

Either party may terminate this agreement at any time. Percept may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases immediately.

You may export your User Data and Outputs for 30 days following termination. After that period, Percept may delete your data in accordance with our data retention policies.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Percept does not warrant that the Services will be uninterrupted, error-free, or that any 3D reconstruction or simulation will achieve a specific level of accuracy for your use case.

11. Limitation of Liability

To the maximum extent permitted by law, Percept's total liability under these Terms shall not exceed the amounts paid by you to Percept in the twelve (12) months preceding the claim.

In no event shall Percept be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless Percept, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your User Data, or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

Percept may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
